Terms of Service

3RDPIPE provides a local SEO and social media content management platform for digital marketing agencies and their small-business clients. Features include client management (CRM), credential vaulting, keyword tracking, location management, Google Business Profile performance dashboards, and white-labeled client portals. The Service also includes Social Alerts, an optional browser extension and dashboard for detecting potential leads in Facebook groups (see Section 6).

• You must be at least 18 years old and able to form a legally binding contract.
• You are responsible for all activity that occurs under your account.
• You agree to provide accurate, current information and to keep it up to date.
• You are responsible for safeguarding your password and any authentication credentials. Notify us promptly of unauthorized use.
• One account per individual. Sharing logins is prohibited; invite team members via the Users page instead.

You retain ownership of all data you upload, enter, or generate through the Service (“Customer Data”). You grant 3RDPIPE a limited license to host, process, transmit, and display Customer Data solely to operate and improve the Service for you. Our handling of personal information is governed by our Privacy Policy.

When you authorize 3RDPIPE to access Google APIs on your behalf, our use of the data we receive complies with Google's API Services User Data Policy, including the Limited Use requirements. See the “Google API Services” section of our Privacy Policy for details.

Data export. You may request a machine-readable export of your Customer Data at any time by emailing support@3rdpipe.io. We will deliver the export within 30 days at no cost. Common record types (clients, locations, keywords, reviews, geo-grid snapshots, invoices) are exportable.

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Upload or transmit any content that infringes intellectual property, privacy, or other rights of others.
• Attempt to gain unauthorized access to the Service, other accounts, or any underlying infrastructure.
• Reverse engineer, decompile, or attempt to extract source code, except as permitted by law.
• Scrape, copy, or resell the Service or any of its data without prior written consent.
• Use the Service to send spam, malware, or any harmful or deceptive communication.
• Interfere with the performance or security of the Service, or with any other user's use of it.

The Service integrates with third-party platforms, including Google Business Profile, Clerk (authentication), and others (collectively, “Third-Party Services”). Your use of those Third-Party Services is governed by their own terms and privacy policies. We are not responsible for the availability, content, or practices of any Third-Party Service.

You are responsible for maintaining your authorization to access third-party data on behalf of your clients (e.g., manager-level access to your clients' Google Business Profiles). 3RDPIPE does not warrant uninterrupted access to data from Third-Party Services.

If you use Social Alerts, the following additional terms apply.

• Personal, read-only use. Social Alerts is a personal productivity tool that surfaces posts already visible to you in Facebook groups you have joined. It does not act on your behalf (no posting, messaging, scrolling, or automated interaction) and does not store your Facebook credentials.
• Your responsibility on third-party platforms.Your use of Social Alerts in connection with Facebook (or any other platform) is also subject to that platform's own terms of service. You are responsible for ensuring your use complies with those terms; 3RDPIPE is not responsible for any action a platform takes against your account.
• SMS notifications.SMS alerts are optional and sent only after you provide your phone number and give explicit consent. Message frequency varies (typically 5–20 messages per week); message and data rates may apply. Reply STOP to opt out at any time, or HELP for help. Consent to receive SMS is not a condition of using the Service.
• No guarantee of completeness. Social Alerts surfaces a sample of recent visible posts and does not capture every post or every lead. We do not warrant that any particular post or lead will be detected.

If your plan requires payment, you agree to pay all fees as described at the time of subscription. Fees are billed in advance and are non-refundable except as required by law. We may change pricing with at least 30 days' notice; changes take effect at your next billing cycle. Failure to pay may result in suspension or termination of your account.

You may cancel your subscription at any time from the Billing settings or by contacting us. Cancellation takes effect at the end of your current billing period — you retain access to the Service through the end of the period you have already paid for, and will not be charged again. We do not prorate or refund partial billing periods.

The Service, including all software, design, text, graphics, and trademarks, is owned by 3RDPIPE and protected by intellectual property laws. These Terms do not grant you any right to use 3RDPIPE's name, logos, or branding without prior written consent.

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or if we reasonably believe your use poses a security or legal risk. Upon termination, your access to the Service ends and we will delete or anonymize remaining Customer Data within 30 days, except where retention is required by law.

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that data from Third-Party Services will be accurate or complete.

To the maximum extent permitted by law, 3RDPIPE will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service. Our total cumulative liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the twelve months preceding the event giving rise to liability, or (b) one hundred U.S. dollars ($100).

You agree to indemnify and hold harmless 3RDPIPE and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Travis County, Texas, and you consent to personal jurisdiction in those courts.

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and notify users with active accounts by email or in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
